Freedom Forever 2024 THD Offer Terms and Conditions
Effective: August 15, 2024
The 2024 $750 Freedom Forever The Home Depot Sunnova Program Promotion (the “2024 THD Offer” or “Promotion”) is offered by Freedom Forever LLC, on behalf of itself and its subsidiaries (collectively, “Freedom Forever”). By participating in the 2024 THD Offer, you accept and agree to Freedom Forever’s Privacy Policies and the full promotional details found in the Freedom Forever 2024 THD Offer Terms and Conditions (“Terms and Conditions”) set forth below (collectively, the “Rules”). Please read the Rules carefully. By participating in the Promotion, you accept and agree to be bound by the Rules. This Promotion is subject to federal, state, municipal, and local laws and regulations and is void where prohibited or restricted by law. Your participation in this Promotion is voluntary. Freedom Forever and the Eligible Participant are sometimes referred to in this Agreement individually as a “Party” and collectively as the “Parties.”
Offer Details: Freedom Forever will provide each Eligible Participant (as defined below) with a $750.00 Visa® Prepaid Reward Card (the “Reward”) after the Eligible Participant has met all eligibility requirements. Rewards are subject to availability and issued pursuant to a license from Visa U.S.A. Inc. Rewards are non-transferrable, not for resale, not for use at automated gas pumps, and not redeemable for cash. Reward Cards may expire six (6) months after issuance. No cash alternative to the Reward will be offered. Freedom Forever reserves its rights to substitute a Reward with another of equivalent or higher value. This Promotion may not be combined with any other offer or promotion issued by Freedom Forever. Limit one Reward per customer or household.
Eligibility Requirements: The 2024 THD Offer is open to individuals who meet all of the following qualifications (“Eligible Participant(s)”): (i) personally receive an offer to participate in the Promotion from Freedom Forever or a Freedom Forever-authorized sales representative during the Promotional Period (as defined below); (ii) sign a valid Sunnova Customer Agreement through the Freedom Forever THD Program during the Promotional Period; (iii) receive a Final Completed Status for their photovoltaic system (the “System”) by March 31, 2025; and (iv) who are current on their payment(s) for the System at the time the Reward is to be issued, including payment of any required deposit(s). For purposes of this Promotion, a “Final Completed Status” means the System has been fully installed by Freedom Forever and has obtained permission to operate from the applicable utility, if any. The Eligible Participant must be at least eighteen (18) years old and must live within the United States.
Employees, shareholders, officers, and directors of Freedom Forever and its affiliates, including but not limited to, subsidiaries, advertising agencies, lead generation agencies, agents, subcontractors, and those individuals living in the same household as such individuals, are not eligible to participate in the Promotion. Freedom Forever reserves the right to verify the eligibility of all participants and to disqualify any individual who tampers or attempts to tamper with the operation of the Promotion or its website, or who violates these Terms and Conditions.
Promotional Period: The promotional period for the Promotion shall run from August 15, 2024, and shall expire at 11:59 p.m. (Pacific) on December 31, 2024.
Release and Limitations of Liability: By participating in this Promotion, you agree not to assert any claims or causes of action against Freedom Forever, Sunnova, and The Home Depot, and their respective successors, assigns, subsidiaries, and any of their members, directors, assignees, officers, employees, agents and representatives (hereinafter individually and collectively, the “Released Parties”) and agree to indemnify and hold harmless the Released Parties from any liability arising out of your violation of these Terms and Conditions and from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, arising or related to the Promotion or the acceptance, receipt, use, or misuse of any Reward.
The Released Parties are not responsible for, and will not have any liability in connection with, (a) any typographical or other error in the printing of the offer, or administration of the Reward; (b) late, delayed, or incomplete participation in the Promotion; (c) incorrect or inaccurate capture of, damage to, or loss of participant information; or (d) any other human, mechanical or technical error of any kind relating to the operation of any attempted communications with any participant, the submission, collection, storage and/or processing of participant information, or the administration of the Reward.
IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, WHETHER ARISING UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), OR ANY OTHER THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS OR HARM TO BUSINESS OR REPUTATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
For California participants: You agree that you have read and expressly waive the following provisions of California Civil Code, Section 1542:
A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.
Reward Issuance: Unless otherwise specified, Reward(s) will be mailed to the Eligible Participant’s mailing address on file within eight (8) weeks after the Eligible Participant has met all eligibility requirements. Freedom Forever may require, in its sole discretion, a winner to complete, sign, and return to Freedom Forever an Affidavit of Eligibility, Release of Liability, IRS Form-1099, and/or any other requested documents. If such documents are requested by Freedom Forever, then an Eligible Participant’s receipt of the Reward is strictly subject to such Eligible Participant’s completion and return of the required documents. Failure to timely return any required documents may result in forfeiture of a Reward.
Miscellaneous Provisions: Participants agree that the decisions of Freedom Forever related to the Promotion are final and binding in all matters. Freedom Forever reserves the right to suspend, cancel, terminate or modify the Promotion without advance notice or to re-commence such Promotion, if at all, only at such time(s) and upon such terms and conditions, as Freedom Forever shall deem reasonable under the circumstances. No substitution, request for the cash equivalent, or transfer of the right to receive a Reward is permitted, except in the sole discretion of Freedom Forever, which has the right to substitute any Reward with alternative of equal or greater value. The Rewards are issued “as-is” and without any warranty, guaranty, or representation of any kind, express or implied, including without limitation, any implied warranty of merchantability or fitness for a particular purpose, durability, reliability, and/or performance. Any issues, claims, or questions regarding the use or condition of the Rewards should be directed at the appropriate manufacturers of the Rewards. Freedom Forever is not responsible for any incorrect or inaccurate information supplied by participants, or for any failure of, or delay in relation to, the Promotion for the period that such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes or labor disputes, embargoes, government orders or any other force majeure event. The failure, by Freedom Forever, to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision. These Terms and Conditions are subject to all national, state, and local laws including applicable tax codes.
Third-Party Trademarks: The use of any third-party trademark is for the purpose of Reward description only and such use is not intended to suggest or imply sponsorship, endorsement, affiliation, or the approval of this Promotion. This Promotion is in no way sponsored, endorsed, or administered by Visa®, Sunnova®, or The Home Depot®. Visa is a registered trademark of Visa, U.S.A. Inc. The Sunnova name and logo are registered trademarks of the Sunnova Energy Corporation. The Home Depot name and logo are registered trademarks of Home Depot Product Authority, LLC. All other trademarks and service marks belong to their respective owners.
Taxes: Freedom Forever shall cover the purchase taxes for all Rewards. It is the sole responsibility of the Eligible Participant(s) to pay all other federal, state, local, and foreign taxes in connection with a Reward, if any.
Disputes: THIS PROMOTION IS GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Promotion, participants agree that any and all disputes that cannot be resolved between the Parties and causes of action arising out of or connected with the Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Orange County, California. YOU ACKNOWLEDGE AND AGREE TO HEREBY WAIVE AND RELEASE ANY RIGHT TO BRING ANY DISPUTE ARISING OUT OF OR CONNECTED WITH THE PROMOTION AS A CLASS ACTION OR PARTICIPATE IN THE SAME.
Privacy: Personal information supplied in connection with the Promotion is subject to applicable data protection laws and Freedom Forever’s Privacy Policy at: https://freedomforever.com/legal/privacy-policy/ and https://freedomforever.com/privacy-notice-for-california-residents/ for California residents. By entering this Promotion, participants acknowledge that they have read Freedom Forever’s Privacy Policies and hereby agree to its collection and use of their personal information in accordance with such laws and Privacy Policies.
