Official Rules for the Labor Day Giveaway on Instagram.

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.  A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

These Official Rules apply to the Instagram Labor Day Giveaway (“Giveaway”) sponsored and administered by Freedom Forever LLC (“Sponsor”).  By participating in the Giveaway, you accept the terms and conditions set forth in these Official Rules.  You also confirm that you are at least eighteen (18) years old, live within the United States, and have a valid Instagram account.  The Giveaway is subject to federal, state, municipal, and local laws and regulations and is void where prohibited or restricted by law.

Sponsor.  The Giveaway is sponsored by Freedom Forever LLC. 

Prizes.  There will be one prize bundle (“the Bundle”) consisting of: one (1) Dyson v8 Cordless Vaccuum; one (1) Kitchenaid Artisan Mini Plus 3.5-QT Tilt Head Stand Mixer; one (1) Makita XT281S 18V LXT 2-pc. Combo Kit ; one (1) BINYATOOLS Magnetic Wristband; one (1) SCIZT USB Outlet Receptacle, 6-pack 5A; one (1) Electronic Organizer Travel Cable Cord Case. Only one (1) Bundle prize will be available in the Giveaway.  The approximate retail value (“ARV”) of the Bundle is $1,440. 

No substitution, request for the cash equivalent, or transfer of the right to receive the prize is permitted, except in the sole discretion of Sponsor, which has the right to substitute the prize with another prize of equal or greater value.

The prize is awarded “as is” and without any warranty, guaranty, or representation of any kind, express or implied, including without limitation, any implied warranty of merchantability or fitness for a particular purpose, durability, reliability, and/or performance.  Any issues, claims, or questions regarding the use or condition of the prize items should be directed at the appropriate manufacturers of the items. 

Eligibility.  This Giveaway is open to anyone who, at the time of the individual’s first entry, (a) is at least eighteen (18) years of age and is (b) a permanent, legal resident of the United States. Notwithstanding the foregoing, residents of Alaska, Florida, Hawaii, New York, Tennessee, and Rhode Island are ineligible to enter the Giveaway. 

Agreement to Official Rules.  By entering the Giveaway, you indicate your full and unconditional agreement to, and acceptance of (a) these Official Rules and (b) Sponsor’s decisions, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Entry Period.  The Giveaway begins on September 5, 2022 12:00 am PST and ends on September 9, 2022 11:59 pm PST (the “Entry Period”).  Entries submitted before or after the Entry Period will not be eligible.

How to Enter.  To enter the Giveaway, you must: (a) have a valid and public (i.e., an account not set on private) Instagram account; (b) like the original Giveaway announcement post (“Announcement Post”) on Sponsor’s official Instagram account, @freedomforeversolar (“Official Instagram Account”); (c) follow the Official Instagram Account; and (d) tag three (3) friends with valid and public Instagram accounts in the comments section of the Announcement Post. Entries are only valid on the original Announcement Post. For bonus entries, you must: (a) have a valid and public (i.e., an account not set on private) Instagram account; (b) share the original Giveaway announcement post (“Announcement Post”) on your public Instagram story; and (c) tag the Official Instagram Account, @freedomforeversolar in your Instagram story post. Bonus entries are only valid once through the duration of the Giveaway entry period.

The use of an agency or any automated system to enter is strictly prohibited and Sponsor reserves the right to disqualify any entries received through such methods, as determined by Sponsor, in its sole discretion.

Taxes.  All federal, state and local taxes on the value of the prize are the sole responsibility of the winner.  Completion and submission of a 1099 to Sponsor is a condition precedent to receiving the Prize.

Drawing.  On or about September 10, 2022, Sponsor will select one (1) potential winner for the Bundle in a random drawing of all eligible entries received during the Entry Period.  The odds of winning will depend on the number of eligible entries received.     

Notification and Requirements of Potential Winners.  Once selected, Sponsor will announce the potential winner in a comment on the Announcement Post and notify the potential winner via direct message to the Instagram account used by the potential winner to enter the Giveaway.  Sponsor will provide instructions on how to claim the prize in the direct message.  To remain eligible for the Giveaway prize, the potential winner must respond to the direct message within forty-eight (48) hours after being contacted by the Sponsor.  Sponsor is not responsible or liable if the potential winner cannot be contacted for any reason whatsoever following efforts by Sponsor to contact the potential winner.

The potential winner must meet all eligibility requirements and fully comply with these Official Rules.  Sponsor may in its discretion require the potential winner to complete, sign, and return to Sponsor an Affidavit of Eligibility, Release of Liability, 1099, and/or any other requested documents. 

If a potential winner is found to be ineligible, is not in compliance with these Official Rules, declines to accept the prize, fails to respond to a winner notification within forty-eight (48) hours, fails to sign and return all requested documents within the timeframe specified by Sponsor, or otherwise fails to fulfill any of Sponsor’s conditions for claiming the prize, the prize may be forfeited.  If a prize is forfeited for any reason, it may be awarded to an alternate potential winner, at the Sponsor’s sole discretion, selected at random from the remaining pool of eligible entries received during the Entry Period.  

To receive the Giveaway prize, the potential winner must satisfy all of the aforementioned requirements and provide Sponsor with their full legal name and mailing address. Sponsor will ship the prize directly to the mailing address provided and accept all shipping costs.  Sponsor is not responsible for incorrect mailing addresses or any lost, delayed, held, stolen, or damaged packages.    

Sponsor’s Sole Discretion.  Sponsor reserves the right, at its sole discretion, to change the rules of the Giveaway at any time and if, for any reason, the Giveaway is not capable of running as planned, to cancel, terminate, modify, or suspend the Giveaway.  Any and all decisions of the Sponsor related to the Giveaway are final and made at Sponsor’s sole discretion. 

Grant of Rights.  By participating in this Giveaway, each entrant grants to the Sponsor, and its subsidiaries, affiliates, agents, employees, assigns, and successors (collectively, “Sponsor Affiliates”) the perpetual right to use entrant’s name, social media user name and/or handle, address (city and state), biographical information, likeness, picture, voice, opinions, and other information and content provided and/or obtained in connection with the Giveaway for promotion, trade, commercial, advertising, publicity, or any other purposes without notice, review or approval and without additional compensation, except where prohibited by law.  All entries for the Giveaway are the property of Sponsor.

Release and Limitations of Liability.  By participating in the Giveaway, to the fullest extent permitted by applicable law, you agree to release and hold harmless Sponsor and Sponsor Affiliates (collectively, the “Released Parties”) from and against any claim or cause of action arising out of or relating to your participation in the Giveaway, the use of Instagram, the receipt or use of the prize, or any exercise by the Released Parties of the rights identified in the “Grant of Rights” section above, including without any limitation, any and all claims and causes of action: (a) relating to any personal injury, death or property damage or loss sustained by any entrant or any other person, (b) based upon any allegation of violation of the right of privacy or publicity, misappropriation, defamation, or violation of any other personal or proprietary right, (c) based upon any allegation of infringement of copyright, trademark, trade dress, patent, trade secrets, or any intellectual property right, or (d) based upon any allegation of a violation of the laws, rules or regulations relating to personal information and data security. You agree not to assert any such claim(s) or cause(s) of action against any of the Released Parties and waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.  Further, in no event shall the Released Parties be liable for any attorney’s fees. Each entrant assumes the risk of, and all liability for, any injury, loss or damage caused, or claimed to be caused, by participation in this Giveaway, the use of Instagram, or the provision, acceptance or use of any prize. 

The Released Parties are not responsible for, and will not have any liability in connection with, (a) any typographical or other error in the printing of the offer, administration of the Giveaway or in the announcement of the prize; (b) late, lost, delayed, illegible, damaged, corrupted or incomplete entries; (c) incorrect or inaccurate capture of, damage to, or loss of entries or entry information; or (d) any other human, mechanical or technical error of any kind relating to the operation of Instagram communications or attempted communications with any entrant, the submission, collection, storage and/or processing of entries, or the administration of the Giveaway.

Choice of Law.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Sponsor or any entrant in connection with the Giveaway shall be governed by, and construed in accordance with, the substantive laws of the State of California. YOU ACKNOWLEDGE AND AGREE TO HEREBY WAIVE AND RELEASE ANY RIGHT TO BRING ANY DISPUTE ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY AS A CLASS ACTION OR PARTICIPATE IN THE SAME.

Privacy Policy.  Personal information supplied in connection with the Giveaway is subject to applicable data protection laws and Sponsor’s Privacy Policy at https://freedomforever.com/privacy-policy/ and https://freedomforever.com/privacy-notice-for-california-residents/ for California residents. By entering the Giveaway, entrants acknowledge that they have read Sponsor’s Privacy Policy and hereby agree to Sponsor’s collection and use of their personal information in accordance with such laws and Privacy Policy.

Social Media Disclosure.  This Giveaway is in no way sponsored, endorsed, administered by, or associated with Instagram and Sponsor and entrants hereby release Instagram from any and all liability, loss, or damage resulting from administration of, communication of, or participation in the Giveaway.

Third-Party Trademark.  The use of any third-party trademark is for the purpose of prize description only and such use is not intended to suggest or imply sponsorship, endorsement, affiliation, or the approval of this Giveaway.

Name of Winner.  To obtain the name of the Giveaway winner, please contact the Sponsor via the Official Instagram Account.
